Out of faction upgrades

I am curious what the rules are when you take a model that is out of faction like say a mercenary or if you leader has an upgrade that allows you. Can you put upgrades on them if they are a henchman or enforcer? and if so is it from their original faction or from the faction of your crews leader?

The hiring rules specify that out of faction, or dual faction models can only take upgrades from the player's declared faction. I don't have my book handy to reference the page, but I found it last week when I was specifically trying to answer your exact question for myself.

You can only take upgrades from your declared Faction.

Keep in mind, though, that there are some dual faction upgrades. Those can be used in either faction.

Any upgrade used must have the icon of the declared faction of the player.

The bummer about this rule is that it prevents certain non-dual-faction models to miss out on their personal upgrades when that are hired out of faction.

Example: Zoraida may be hired as a Gremlin master. She has the Tarot Card (dual-faction Neverborn/Gremlins) upgrade that allows her to bring other Swampfiend figures irrespective of faction. So she could bring Bad Juju into her Gremlin crew but he can no longer take his super-special Juju-only Eternal Fiend upgrade as that particular upgrade only has a Neverborn icon. However, he could now take Gremlin upgrades.

I always thought that this was a weird rule. It seems like it will be much harder to test new upgrades juxtaposed with merc or faction jumping models and find crazy interactions as they would have to check against a vastly larger number of interactions. Ostensibly, they'd have to ensure that ALL general faction upgrades don't get broken when applied to ANY merc or dual-faciton models...and that does not even take non-merc/non-dual faction jumpers like Bad Juju and others.
